Terms of Service

1. Introduction

Welcome to TradeCheck. These Terms of Service ("Terms") govern your access to and use of the TradeCheck mobile application ("App"), website, and all related services (collectively, the "Service"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

TradeCheck is a product owned and operated by Thomas Enterprise B.V., a company registered in the Netherlands ("TradeCheck", "we", "us", or "our"). Our contact email is support@gettradecheck.com.

2. Description of the Service

TradeCheck is a business-to-consumer (B2C) software-as-a-service (SaaS) mobile application that provides company verification reports for use in commodity trading. The App helps users perform anti-fraud checks by aggregating publicly available data about businesses, including but not limited to data from the Dutch Chamber of Commerce (Kamer van Koophandel / KvK), the EU VAT Information Exchange System (VIES), OpenSanctions, Rechtspraak.nl, and other public registries and databases.

TradeCheck offers two types of reports:

• Instant Report — An automated verification report generated in real time, priced at €29.95 per report.
• Expert Review — A comprehensive, manually reviewed verification report prepared by our team, priced at €199 per report.

3. Eligibility

You must be at least 18 years of age to use the Service. By using TradeCheck, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at support@gettradecheck.com if you suspect any unauthorised use of your account.

5. Payments and Pricing

All purchases within the App are processed through Apple In-App Purchase. By making a purchase, you agree to Apple's terms and conditions for in-app purchases in addition to these Terms. All prices are listed in euros and include applicable VAT unless otherwise stated.

Current pricing is as follows:

• Instant Report: €29.95
• Expert Review: €199.00

TradeCheck reserves the right to change its pricing at any time. Any price changes will be communicated in advance through the App or via email. Price changes will not affect reports that have already been purchased.

6. Refund Policy and Right of Withdrawal

Because TradeCheck delivers digital content that is not supplied on a tangible medium, you acknowledge and agree that, in accordance with Article 16(m) of EU Directive 2011/83/EU and EU Directive 2019/770 on Digital Content, your right of withdrawal expires once the delivery of the digital content (i.e., the verification report) has begun with your prior express consent and your acknowledgement that you thereby lose your right of withdrawal.

Once a report has been generated and delivered, no refunds will be issued. If you experience a technical issue that prevents the delivery of a report you have paid for, please contact us at support@gettradecheck.com and we will work to resolve the issue or provide a replacement report.

7. Disclaimer and Limitation of Liability

TradeCheck is an informational tool only. The reports generated by the Service are based on publicly available data sources and are provided on an "as is" and "as available" basis. TradeCheck does not guarantee the accuracy, completeness, timeliness, or reliability of the information contained in any report.

The Service does not constitute legal advice, financial advice, or professional consulting of any kind. You should not rely solely on TradeCheck reports to make business, legal, or financial decisions. We strongly recommend consulting qualified legal or financial professionals before entering into any transaction.

To the maximum extent permitted by applicable law, TradeCheck, its owner, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

In any event, our total aggregate liability to you for all claims arising out of or relating to the use of the Service shall not exceed the amount you paid to TradeCheck in the twelve (12) months preceding the event giving rise to the liability.

8. Data Sources and Accuracy

TradeCheck aggregates information from various public data sources, including but not limited to:

• Kamer van Koophandel (KvK) — Dutch Chamber of Commerce
• VIES — EU VAT Information Exchange System
• OpenSanctions — Global sanctions and watchlist data
• Rechtspraak.nl — Dutch court rulings and legal proceedings
• Other publicly accessible registries and databases

While we strive to present accurate and up-to-date information, we cannot guarantee the completeness or correctness of data provided by third-party sources. TradeCheck is not responsible for errors or omissions in external data sources. The availability of specific data sources may change without notice.

9. Intellectual Property

All intellectual property rights in the Service, including but not limited to the App, website, branding, logos, report templates, and proprietary algorithms, are owned by TradeCheck and are protected by applicable intellectual property laws.

Reports purchased through TradeCheck are licensed to you for your personal or internal business use only. You may not resell, redistribute, publish, or otherwise commercialise any report or its contents without the prior written consent of TradeCheck. Sharing a report with relevant business partners or advisors for the purpose of evaluating a specific transaction is permitted, provided it is not done on a commercial basis.

10. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Harass, defame, or harm any person or business using information obtained through the Service
• Attempt to reverse-engineer, decompile, or disassemble any part of the App or Service
• Interfere with or disrupt the integrity or performance of the Service
• Use automated systems, bots, or scripts to access the Service without our prior written consent
• Resell or commercially exploit the reports or data obtained through the Service
• Misrepresent your identity or affiliation with any person or entity

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

11. Account Deletion

You may request deletion of your account at any time by contacting us at support@gettradecheck.com. Upon receiving your request, we will delete your account and associated personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). Please note that account deletion is permanent and you will lose access to any previously purchased reports.

12. Modifications to the Service

TradeCheck reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. If we make material changes to the Service or discontinue it entirely, we will provide you with at least thirty (30) days' prior notice via email or through the App. This notice period does not apply in cases of force majeure, legal requirements, or urgent security concerns.

13. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will revise the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the App. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the practices described in the Privacy Policy.

15. Third-Party Services

The Service may integrate with or rely on third-party services, including Apple's App Store and payment processing infrastructure. TradeCheck is not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is subject to their respective terms and conditions.

16. Indemnification

You agree to indemnify, defend, and hold harmless TradeCheck, its owner, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

17. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the intent of the original provision.

18. Complaints

If you have any complaints regarding the Service, please contact us at support@gettradecheck.com. We will acknowledge your complaint within five (5) business days and aim to resolve it within thirty (30) business days. If you are not satisfied with our response, you may submit your complaint to the European Online Dispute Resolution platform at https://ec.europa.eu/odr.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.
